The article is devoted to immediate problem of human development in the organization and its transformation in human capital. The ambiguousness in the definition to the concepts of human potential and human capital leads not only to scientific-definitional confusion, but also to real difficulties in their practical use. The author examined the relation of concepts human potential and the labor potential, human resources, human capital. Also in article is represented the author's overall structure of the human capacity of the organization, consisting of active and passive human potential, and the features its transformation in human capital.
